Please read these Terms of Use ("Terms") carefully before using the Fair Square Systems, Inc. ("FairSquare," "we," "our," or "us") website and dispute resolution platform. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By registering for an account or using any FairSquare service, you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to comply with these Terms and all applicable laws. If you are using the platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Description of Services
FairSquare provides an online platform for alternative dispute resolution (ADR) services, including mediation and arbitration, for disputes arising in the home services industry. We facilitate resolution by connecting parties with qualified, neutral professionals. FairSquare is not a law firm and does not provide legal advice. Nothing on our platform constitutes legal advice, and you are encouraged to consult an attorney regarding your specific situation.
3. Account Registration
You must create an account to submit or participate in a dispute. You agree to provide accurate and complete information, keep your account credentials secure, and promptly update your information if it changes. You are responsible for all activity that occurs under your account. Notify us immediately in writing at the address in Section 14 if you suspect unauthorized use of your account.
4. Fees and Payment
Use of FairSquare's dispute resolution services requires payment of applicable fees:
- Mediation: starting at $299, split equally between parties unless otherwise agreed.
- Arbitration: starting at $499, allocated per our fee schedule or arbitrator's award.
- Platform Integration: custom pricing per executed agreement.
All fees are due at case initiation and are non-refundable except as expressly stated in our Refund Policy. We reserve the right to modify fees with 30 days' notice.
5. Dispute Resolution Process
By submitting a dispute, you agree to participate in good faith in the assigned ADR process, respond to communications within the time frames specified by the neutral, submit only truthful and accurate information and evidence, and comply with the final outcome if you selected arbitration. FairSquare reserves the right to close a case if a party fails to participate after reasonable notice.
6. Confidentiality
All mediation proceedings and related communications are confidential and may not be disclosed to third parties except as required by law or with the written consent of all parties. Arbitration awards are confidential unless disclosure is required to enforce the award or by applicable law. You agree not to record any sessions without the explicit written consent of all participants.
7. Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent information or evidence.
- Harass, threaten, or intimidate any party, neutral, or FairSquare personnel.
- Attempt to contact or influence a neutral outside of the formal process.
- Use the platform for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to our systems or another user's account.
- Interfere with the operation of the platform or circumvent any security measures.
8. Intellectual Property
All content on the FairSquare platform, including text, graphics, logos, software, and processes, is the property of Fair Square Systems, Inc. and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission. You retain ownership of the content you submit to the platform and grant us a limited license to use it solely to provide our services.
9. Disclaimer of Warranties
FairSquare's services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that any particular dispute outcome will be achieved, that neutrals will reach any specific conclusion, or that our platform will be uninterrupted or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Fair Square Systems, Inc. and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including any dispute outcome. Our total liability to you for any claim shall not exceed the fees you paid to FairSquare in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Fair Square Systems, Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the platform, your violation of these Terms, or your infringement of any third-party right.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action arising out of these Terms that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by email. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.
